1. Agreement to Terms

By accessing or using Blue Dragon Systems' website (bluedragonsystems.com) or Services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use our Services.

Blue Dragon Systems ("we," "us," or "our") is a sole proprietorship operating in Philadelphia, PA (transitioning to LLC status). These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Blue Dragon Systems.

2. Services Description

Blue Dragon Systems provides lead capture automation services for home service contractors, including:

  • Professional website design and hosting

  • Automated lead response systems (missed calls, web forms)

  • AI-powered chatbot

  • Review automation

  • Customer relationship management (CRM) dashboard

  • Ongoing support and maintenance

Our Services are designed to help you capture and manage leads. We do not guarantee specific results, lead volume, revenue increases, or business outcomes. Results depend on your business operations, market conditions, and other factors outside our control.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using our Services, you represent that you meet these requirements.

4. Account Registration

To use our Services, you must:

  • Provide accurate and complete information

  • Maintain the security of your account credentials

  • Notify us immediately of unauthorized access

  • Be responsible for all activity under your account

5. Pricing and Payment

5.1 Service Fee

Our standard service fee is $397 per month. Pricing may vary based on promotions or custom agreements discussed during onboarding.

5.2 Payment Terms

  • Payment is due monthly via Stripe or another agreed-upon method

  • First payment is due upon signing the service agreement

  • Subsequent payments are due on the same day each month

  • Late payments may result in service suspension

5.3 No Setup Fees

We do not charge setup fees unless otherwise agreed in writing.

5.4 Price Changes

We reserve the right to change pricing with 30 days' notice. Existing clients will be grandfathered at their original rate unless otherwise notified.

6. Cancellation and Refunds

6.1 Cancellation Policy

You may cancel your Services at any time with 14 days' written notice to legal@bluedragonsystems.com.

If you cancel within 7 days of a billing cycle, we require a brief call to discuss the cancellation before processing. This helps us understand any issues and improve our Services.

6.2 Refund Policy

No refunds are provided for Services already rendered. We operate on a month-to-month basis with no long-term contracts.

In cases where we fail to deliver Services due to our error, we may issue a prorated refund or credit at our sole discretion.

7. Service Delivery

7.1 Timeline

We aim to have your system live within 2 weeks of receiving all required information. Delays may occur due to:

  • Incomplete information from you

  • Third-party approval processes (e.g., A2P 10DLC registration)

  • Technical issues beyond our control

7.2 Your Responsibilities

You agree to:

  • Provide accurate business information in a timely manner

  • Respond to requests for content, images, and approvals

  • Review and approve website designs and automation workflows before launch

  • Maintain an active phone number and email for system integration

7.3 Our Responsibilities

We will:

  • Build your website and automation systems as described

  • Provide training on how to use the system

  • Offer ongoing support for technical issues

  • Monitor and maintain system functionality

8. Limitations of Service

8.1 No Guarantees

We do not guarantee:

  • Specific lead volume or quality

  • Revenue increases or business growth

  • Google search rankings or SEO results

  • Third-party platform uptime (e.g., GHL, Stripe, Calendly)

8.2 Lead Capture vs. Lead Generation

Our Services focus on capturing and managing leads you already receive, not generating new leads through advertising or marketing campaigns.

8.3 System Dependencies

Our Services rely on third-party platforms (GoHighLevel, Stripe, etc.). We are not responsible for outages, changes, or issues caused by these platforms.

9. Limitation of Liability

9.1 Maximum Liability

To the fullest extent permitted by law, Blue Dragon Systems' total liability to you for any claims arising from or related to our Services is limited to the amount you paid us in the 3 months prior to the claim.

9.2 No Consequential Damages

We are not liable for:

  • Lost profits, revenue, or business opportunities

  • Data loss or corruption

  • Indirect, incidental, or consequential damages

  • Damages resulting from third-party actions or platform failures

9.3 Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, pandemics, internet outages, government actions).

10. Intellectual Property

10.1 Ownership

All content, designs, code, and materials created by Blue Dragon Systems remain our intellectual property unless otherwise agreed in writing.

Upon full payment, you receive a limited, non-exclusive license to use the website and materials for your business operations.

10.2 Client Content

You retain ownership of any content you provide (logos, images, text). By providing content, you grant us a license to use it in delivering our Services.

11. Acceptable Use

You agree not to:

  • Use our Services for illegal or fraudulent purposes

  • Upload malicious code, viruses, or harmful content

  • Attempt to access our systems without authorization

  • Violate any laws, regulations, or third-party rights

  • Use our Services to spam, harass, or deceive others

Violation of these terms may result in immediate termination of Services without refund.

12. Privacy and Data

Your use of our Services is also governed by our Privacy Policy. By using our Services, you consent to our collection and use of information as described in the Privacy Policy.

13. Third-Party Services

We use third-party services (GoHighLevel, Stripe, Calendly, etc.) to deliver our Services. These providers have their own terms and privacy policies. We are not responsible for their actions or failures.

14. Indemnification

You agree to indemnify and hold Blue Dragon Systems harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of our Services

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Content you provide

15. Termination

15.1 By You

You may terminate Services by providing 14 days' written notice.

15.2 By Us

We may terminate or suspend your Services immediately if you:

  • Violate these Terms

  • Fail to pay fees

  • Engage in fraudulent or illegal activity

  • Abuse or harass our team

15.3 Effect of Termination

Upon termination:

  • Your access to Services will be discontinued

  • You remain responsible for any unpaid fees

  • We may delete your data after a reasonable period (unless legally required to retain it)

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania and the United States, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes will be resolved in the state or federal courts located in Philadelphia, Pennsylvania. You consent to the exclusive jurisdiction of these courts.

16.3 Informal Resolution

Before pursuing legal action, you agree to contact us at legal@bluedragonsystems.com to attempt to resolve the dispute informally.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date.

Continued use of our Services after changes constitutes acceptance of the updated Terms. If you do not agree, you must cancel your Services.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Blue Dragon Systems regarding our Services.
